Terms of Use

These terms govern your use of the Threeya Autonomous Foundation website, Telegram bot, verifier network, donation flows and smart contracts.

1. Acceptance of terms

These Terms of Use ("Terms") form a binding legal agreement between you ("you", "User") and SUPPEER CAPITAL OÜ, an Estonian private limited company (registry code 17423420, registered office Wismari tn 32a, Tallinn 10136, Estonia), acting as the operator of the Threeya Autonomous Foundation ("Threeya", "Foundation", "we", "us"). By accessing the website threeya.com, using the Telegram bot @ThreeyaFund, interacting with our smart contracts, donating, applying for funding or serving as a verifier, you accept these Terms in full.

If you do not agree with any provision, you must not use the services. Continued use after changes to these Terms constitutes acceptance of the updated version.

2. About the Foundation

Threeya is a non-profit initiative operated by SUPPEER CAPITAL OÜ that funds vetted charitable projects through transparent, on-chain donations and a decentralised verifier network. The Foundation is not a bank, a payment institution, an investment firm or a regulated financial service provider.

3. Scope of services

The services ("Services") include, without limitation:

  • the informational website at threeya.com and its subdomains;
  • the Telegram bot providing consultations, project submissions, volunteer sign-up and donation instructions;
  • the verifier network coordinating due diligence of applicant projects;
  • publication of on-chain treasury movements and impact reports;
  • optional AI-assisted chat, guidance and knowledge tools.

We may add, modify, suspend or discontinue any Service, feature or content at any time without liability, provided we make reasonable efforts to notify users of material changes.

4. Eligibility & accounts

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction. You are responsible for ensuring that your use of the Services is lawful where you reside. You may not use the Services if you are located in, ordinarily resident of, or organised under the laws of a jurisdiction that is subject to comprehensive EU, UN, UK, US or Estonian sanctions.

If you create an account, connect a wallet, register as a verifier or link a Telegram profile, you are responsible for the accuracy of the information you provide and for all activity occurring under your identifier. You must safeguard your credentials, seed phrases and private keys — we cannot recover them.

5. Donations & refunds

All contributions to the Foundation are voluntary, irrevocable and non-refundable, except where a refund is required by mandatory law. Donations in cryptocurrency are executed by autonomous smart contracts on public blockchains; once a transaction is confirmed on-chain it cannot be reversed by us.

Donations do not grant any equity, security, token right, share of profits, dividends, governance right (unless explicitly stated for a specific programme), refund entitlement or any expectation of financial return. Donors are solely responsible for determining the tax treatment of their donation in their own jurisdiction and, where applicable, for obtaining donation receipts.

We may decline, delay or return a contribution if we reasonably believe it originates from illegal activity, breaches sanctions, exceeds risk thresholds or was sent by mistake in a form we cannot process.

6. Project applicants

Organisations and individuals who submit projects for funding warrant that they are lawfully constituted, that all submitted information is true, accurate and complete, and that they have the right to share it. Applicants authorise Threeya and its verifiers to conduct due diligence, including identity checks, background checks, site visits, document review and public-source research.

Funded projects agree to use disbursed funds strictly for the purposes described in their approved proposal, to keep records for at least five (5) years, to submit progress and impact reports on request, and to allow independent verification. Material misuse of funds, fraud or breach of these Terms may result in clawback of undisbursed funds, publication of findings, exclusion from future funding and referral to law-enforcement authorities.

7. Verifiers & volunteers

Verifiers act as independent contributors, not as employees or agents of the Foundation. Verifiers must disclose material conflicts of interest, follow the Foundation's verification methodology, and treat applicant information confidentially. Any reputation, stake, badge or on-chain credential associated with a verifier account may be adjusted, slashed or revoked in accordance with published protocol rules if the verifier acts in bad faith, colludes, plagiarises reports or breaches these Terms.

Volunteers assist on a pro bono basis, may withdraw at any time, and are not entitled to compensation unless explicitly agreed in writing before the engagement.

8. Telegram bot & AI assistant

The Threeya Telegram bot and any AI-powered assistant offer general information about the Foundation, projects and donation flows. They do not provide legal, financial, tax, medical or professional advice. AI responses may be inaccurate, incomplete or outdated; you must not rely on them as the sole basis for any decision.

By interacting with the bot you consent to the processing of messages, commands and metadata as described in our Privacy Policy. Do not share credentials, seed phrases, sensitive personal data or the personal data of third parties without a lawful basis.

9. Blockchain & smart contracts

Certain Services rely on public blockchains and open-source smart contracts. Blockchain transactions are irreversible, publicly visible and pseudonymous. We do not control network fees, congestion, forks, re-orgs, MEV, oracle failures or the underlying protocols. Bugs, exploits or governance actions may affect availability, custody and value.

You accept sole responsibility for wallet security, correct network selection, gas configuration and address verification. We are not liable for losses caused by user error, phishing, wallet compromise, sending funds to the wrong address or interacting with unofficial contracts.

10. Acceptable use

You agree not to:

  • use the Services for money laundering, terrorist financing, fraud, tax evasion or any other unlawful purpose;
  • submit false, misleading or plagiarised project applications, verifier reports or identity documents;
  • circumvent sanctions, AML/KYC procedures or geofencing;
  • interfere with, probe, scrape at scale, reverse engineer or overload the Services;
  • upload malicious code, spam, harassment, hate speech, sexual content involving minors or content that infringes third-party rights;
  • impersonate the Foundation, its team, verifiers or funded projects;
  • use the AI assistant to generate content that violates law or these Terms.

11. Intellectual property

The Threeya name, logo, brand assets, website design, documentation and non-open-source code are owned by SUPPEER CAPITAL OÜ or its licensors and are protected by copyright, trademark and other laws. Open-source components are licensed under their respective licences (see the repository).

You retain ownership of content you submit (applications, reports, messages) but grant the Foundation a worldwide, royalty-free, non-exclusive, sublicensable licence to host, store, reproduce, translate, publish and communicate that content to the extent necessary to operate the Services, verify projects and publish transparency reports.

12. Third-party services

The Services integrate with third-party providers including Telegram, hosting infrastructure, blockchain nodes, wallet providers, analytics, AI model providers and email services. Your use of those third parties is governed by their own terms and privacy policies. We are not responsible for their acts or omissions.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted operation or security. We do not warrant that any project will succeed, that donations will achieve their intended impact, or that verifier assessments are error-free.

14. Limitation of liability

To the maximum extent permitted by applicable law, the Foundation, its operator SUPPEER CAPITAL OÜ, and their directors, employees, contributors and verifiers shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profit, revenue, data, goodwill, tokens, cryptocurrency, business opportunity or donation value, arising out of or related to the Services.

Our aggregate liability for direct damages under any theory shall not exceed the greater of (a) EUR 100 or (b) the total amount you paid to us (excluding donations) in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under mandatory law (including for gross negligence, wilful misconduct or death or personal injury caused by negligence).

15. Indemnification

You agree to indemnify and hold harmless SUPPEER CAPITAL OÜ, the Foundation and its contributors from any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your violation of applicable law or third-party rights, (c) content you submit, or (d) your use of the Services in a manner not authorised by these Terms.

16. AML, sanctions & tax

We operate compliance controls appropriate to a non-profit funding platform, including screening against EU, UN, UK, US (OFAC) and Estonian sanctions lists, source-of-funds review for larger donations, and risk-based enhanced due diligence for applicants. You warrant that you are not a sanctioned person and that funds you contribute are not derived from criminal activity.

You are solely responsible for the tax consequences of your donations, grants received, verifier rewards or other benefits, and for any reporting to competent tax authorities.

17. Suspension & termination

We may suspend or terminate your access to any Service, block your Telegram chat, remove your submissions or refuse future contributions, at any time and without prior notice, if we reasonably believe you have breached these Terms, applicable law, or the integrity of the Services. You may stop using the Services at any time. Sections that by their nature should survive termination (including 11, 13, 14, 15, 19) shall survive.

18. Changes to the terms

We may update these Terms from time to time. The updated version will be posted at threeya.com/terms with a new "Last updated" date. Material changes will be highlighted on the website or through the Telegram bot. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance.

19. Governing law & disputes

These Terms are governed by the laws of the Republic of Estonia, without regard to its conflict-of-laws rules. Mandatory consumer-protection rights of your country of residence (where applicable) are not affected.

The parties shall attempt to resolve any dispute amicably within thirty (30) days of a written notice. Failing amicable settlement, disputes shall be submitted to the exclusive jurisdiction of the Harju County Court (Harju Maakohus) in Tallinn, Estonia. Consumers resident in the EU may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
